Creator Upload Terms

1. Scope and acceptance

These Creator Upload Terms apply when Hologen Technologies Ltd approves your account to upload audiovisual content to HoloMatrix.

By applying for creator access, selecting an acceptance checkbox, uploading content or continuing to use creator tools, you agree to these Creator Upload Terms. If these Creator Upload Terms conflict with the general Terms about a creator upload, these Creator Upload Terms apply to that upload.

2. Creator eligibility

You may upload only if you are at least 18 years old, have been approved by Hologen, and can legally enter this agreement.

If you act for a company, brand, organisation or another person, you confirm that you have authority to bind them. Creator access is personal and may not be sold, rented, transferred or shared without our written permission.

We may request reasonable evidence of age, identity, authority, ownership, permissions, licences, payment details or tax status. Your full legal name may be collected privately where needed, but your public profile may use a display name or channel name.

3. Definitions

Creator Content means any video, audio, MP4 file, equivalent audiovisual data, title, caption, thumbnail, artwork, description, link, metadata or other material you submit through creator tools.

Source Media means the original video and audio contained in the audiovisual file you upload.

Spatial Data means depth, geometry, spatial, rendering, lighting, animation, physics, visual effect or other technical data generated or supplied by the HoloMatrix platform for presentation with the Source Media.

4. How HoloMatrix processes the upload

HoloMatrix preserves the uploaded Source Media as the creator supplied master file and does not overwrite that master file.

For storage, device compatibility, security and streaming, we and our service providers may create technical copies and may encode, transcode, compress, resize, segment, package, cache or change the container or delivery format of those copies. These routine delivery operations do not change the intended creative content of the original video or audio.

The HoloMatrix 3D and 4D effect is produced by calculating and adding separate Spatial Data using mathematical, depth processing, rendering and computer graphics algorithms. The Spatial Data is streamed, synchronised or rendered simultaneously with the original video and audio.

The Source Media is not replaced with a generatively recreated video or generatively recreated audio for this process. HoloMatrix does not use generative AI to create the depth based 3D or 4D effect described in this clause.

We will not use Source Media to train a generative AI model unless you separately give clear permission under a separate agreement. If we later introduce an optional generative feature, we will disclose it separately before applying it to your content.

5. Ownership

You retain ownership of your Source Media and other original Creator Content.

Hologen retains ownership of the HoloMatrix Service, software, algorithms, patents, processing methods, rendering systems, platform assets and proprietary technology. Subject to your rights in the Source Media, Hologen also retains its rights in platform generated technical Spatial Data and system outputs.

No ownership of your original video or audio transfers to Hologen merely because you upload it.

6. Rights you grant to Hologen

You grant Hologen a non-exclusive, worldwide, royalty-free licence, with the right to sublicense only to service providers and distribution partners needed to operate or promote HoloMatrix, to:

1. receive, host, store and reproduce Creator Content;
2. make technical and delivery copies, including encoding, transcoding, compression, resizing, segmentation, packaging and caching;
3. stream, transmit, distribute, publicly display and publicly perform the original video and audio;
4. calculate, create, store, stream and render Spatial Data in synchronisation with the Source Media;
5. combine the Source Media with HoloMatrix interfaces, scenes, lighting, effects, characters, graphics and interactive controls without changing ownership of the Source Media;
6. create thumbnails, previews, clips and extracts for navigation, discovery, moderation, demonstrations and promotion;
7. display your creator name, username, avatar, channel, title, description and attribution with the content;
8. make the content available through HoloMatrix apps, websites, compatible devices, content delivery systems and app store demonstrations;
9. use reasonable excerpts and screenshots to promote your content and the HoloMatrix Service on websites, app stores, social platforms, presentations, trailers, advertisements and press materials.

This licence does not permit Hologen to sell your Source Media as a standalone stock video, music track or unrelated media product.

7. Duration and removal

The licence continues while the Creator Content is available through the Service and for a reasonable period needed to remove it from active systems.

After deletion or account closure, we may retain non-public copies for backups, security, fraud prevention, moderation records, copyright disputes, legal claims and compliance. Existing promotional materials lawfully created while the licence was active do not have to be recalled, but we will not create new promotional uses after removal unless another agreement permits it.

8. Your confirmations for every upload

Each time you submit Creator Content, you confirm that:

1. you created and own it, or have all rights, licences, releases and permissions needed to upload it and grant these rights;
2. you have permission for every video, image, artwork, animation, script, voice, performance, character, logo, brand and other protected element;
3. you have the rights needed for all music, sound recordings and musical compositions;
4. a licence obtained from TikTok, Instagram, YouTube or another service permits use outside that service where required;
5. you have permission from identifiable people appearing or speaking in the content;
6. where a minor appears, you have all legally required parent or guardian permissions;
7. the upload does not breach an exclusive agreement, record contract, publishing contract, talent agreement, sponsorship or platform restriction;
8. the content is not unlawful, defamatory, deceptive, invasive of privacy or in breach of another person’s rights;
9. the title, description, rights declaration and other information you provide are accurate;
10. you will provide reasonable proof of rights if requested.

A video being public on another site does not by itself prove that you have permission to upload it to HoloMatrix.

9. Music and audio rights

You must identify the basis on which music is used when we request it, for example original music, directly licensed music, royalty-free music, public domain material, or no music.

Music made available inside another app may be licensed only for use inside that app. You are responsible for checking whether the licence allows upload and streaming through HoloMatrix.

We may mute, reject, restrict or remove content where music rights are unclear or disputed.

10. Review and publication

Uploads may be placed in a review queue before publication. We may use human review and automated tools.

We may approve, reject, request changes, request evidence, restrict distribution, age limit, mute, remove links, change technical presentation, suspend publication or remove content.

Approval does not mean that Hologen has verified ownership or accepted legal responsibility for the content. You remain responsible for the upload.

We do not guarantee publication, availability, views, recommendations, followers, revenue, engagement or a particular conversion result.

11. Attribution and promotion

We may identify you by your chosen creator name, channel name or username. We do not have to publish your full legal name.

Promotional use must not falsely suggest that you endorse an unrelated product. Separate paid campaigns, exclusivity, commissioned content or brand endorsements require a separate agreement.

12. Prohibited content and behaviour

You must follow the Community Guidelines. In particular, do not upload content that:

• infringes copyright, trademark or other rights;
• contains unlicensed music, footage or artwork;
• sexually exploits, grooms, endangers or sexualises a child;
• contains pornography, non-consensual intimate content or sexual exploitation;
• promotes hatred, terrorism, credible threats or serious violence;
• encourages suicide, self-harm, eating disorders or dangerous challenges;
• reveals private information, impersonates another person or deceives users about origin;
• promotes scams, malware, illegal goods or unlawful activity;
• uses spam, bots or coordinated manipulation;
• evades a previous removal, suspension or account ban.

Creator status does not provide immunity from moderation.

13. Copyright notices and counter-notices

We respond to sufficiently complete copyright complaints under the Copyright Policy. Copyright notices and DMCA counter-notices should be sent to [email protected]. We may remove or disable access to content while a complaint is reviewed.

Where appropriate, we will notify you and explain any available counter-notice or appeal process. A counter-notice may require your legal name, address, telephone number, signature and legal statements. Those details may be sent to the complainant as required by law.

14. Two warnings and final termination

A copyright warning may be recorded where material is removed or disabled following a sufficiently supported copyright notice or other reliable evidence of infringement. A warning is an account enforcement measure and is not itself a court determination that infringement occurred.

First copyright warning

• The affected content may be removed or disabled.
• You receive a first copyright warning.
• We may require rights evidence before accepting another upload.

Second copyright warning

• The affected content may be removed or disabled.
• You receive a second and final copyright warning.
• Upload access may be suspended and your existing catalogue may be reviewed.

Third copyright warning

• The affected content may be removed or disabled.
• Your creator access and HoloMatrix account may be permanently closed.
• You may be prohibited from creating or controlling another account.

A warning may be withdrawn if the complainant retracts the complaint, a valid counter-notice leads to restoration, a court outcome requires it, or we determine that the warning was issued in error.

We may immediately suspend or permanently close an account without two prior warnings where infringement or other misconduct appears deliberate, fraudulent, commercial, large scale, dangerous or particularly serious.

15. Other violations

The copyright warning system applies to copyright infringement. It does not restrict our response to child safety violations, threats, harassment, fraud, security abuse, illegal content or other breaches.

Depending on seriousness, we may warn, remove content, limit distribution, suspend tools, preserve evidence, report to authorities or close an account immediately.

16. Payments and commercial arrangements

Uploading does not create a right to payment, royalties or revenue sharing unless a separate written agreement says otherwise.

If monetisation is introduced, additional terms may cover identity, payment, tax, refunds, chargebacks, minimum thresholds and revenue calculations.

17. Creator privacy

The main Privacy Policy applies to creators and users. We do not use a separate creator privacy policy.

Creator data may include private legal and contact details, age eligibility, public profile information, uploads, rights declarations, licence evidence, moderation history, copyright notices, communications, payment information and tax information where applicable.

18. Responsibility and indemnity

You are responsible for your Creator Content and the rights associated with it.

To the extent permitted by law, you agree to compensate Hologen for reasonable losses, liabilities, damages and external legal costs arising from a third party claim caused by your breach of these Creator Upload Terms, your infringement of rights, false information, fraud or unlawful conduct.

We will take reasonable steps to notify you of a material claim and will not recover the same loss twice. Nothing excludes liability that cannot legally be excluded.

19. Ending creator access

You may stop uploading and request removal of content, subject to the duration and preservation terms above.

We may suspend or end creator access if you breach these terms, fail to provide requested rights evidence, create legal or safety risk, repeatedly submit unsuitable content, remain inactive, or if we discontinue the creator programme.

Ending creator access does not necessarily delete the underlying user account unless we say so. A third confirmed copyright infringement or serious breach may result in closure of both.

20. Changes to these terms

We may update these Creator Upload Terms to reflect changes to the Service, law, safety standards or creator features. For material changes, we may provide notice and require acceptance before further uploads.

21. Governing law and contact

These Creator Upload Terms are governed by the laws of England and Wales. Mandatory rights that cannot be excluded remain unaffected.
