Terms of Service

1. Agreement

These Terms of Service govern your access to and use of HoloMatrix, including the mobile application, websites, creator tools, channels, comments, Watch Together features, spatial media, purchases and related services together called the “Service”.

By downloading, accessing, creating an account or using the Service, you agree to these Terms, the Community Guidelines, the Copyright Policy and the Privacy Policy. If you do not agree, do not use the Service.

Approved creators must also accept the Creator Upload Terms.

2. Who operates HoloMatrix

The Service is operated by Hologen Technologies Ltd, company number 15757704, trading as HoloMatrix. “HoloMatrix”, “Hologen”, “we”, “us” and “our” refer to Hologen Technologies Ltd.

3. Eligibility and age

You must be at least 16 years old to use the Service or create an account. We may use a neutral age screen, a self-declared age status or age information supplied by an app platform where available.

When a date of birth is entered only to check eligibility, we may calculate whether you are at least 16 and retain the result rather than the full date of birth. More information is provided in the Privacy Policy.

You must be at least 18 to obtain creator upload access, enter a creator commercial agreement, or act where the law requires an adult. Users aged 16 or 17 may make purchases only where permitted by law and by the relevant app store account, including any required parent or guardian approval.

You must not use the Service if you are prohibited from doing so by law or have previously been permanently banned unless we give written permission.

4. Accounts and security

You must provide accurate account information and keep it current. You are responsible for activity carried out through your account and for protecting your login credentials.

Do not sell, rent, transfer or share your account. Tell us promptly at [email protected] if you believe your account has been compromised.

Your public profile may display a username, channel name, avatar and other information you choose to publish. You are not required to display your full legal name unless a specific creator, payment or legal process requires it privately.

5. The Service

HoloMatrix is an interactive media and video streaming platform. It may combine original video and audio with separately generated depth, spatial, geometry, lighting, animation, physics or graphics data so that compatible devices can render an interactive 3D or 4D presentation.

Features, channels, content, formats, availability and device compatibility may change. We do not guarantee that any particular content, creator or feature will always remain available.

6. Your licence to use HoloMatrix

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable licence to install and use the consumer Service for lawful personal use.

You may not copy, sell, sublicense, redistribute, reverse engineer, decompile, disassemble, scrape, bypass security, extract source code, interfere with the Service, or use our systems to build or train a competing product except where applicable law expressly permits an activity that cannot be restricted by contract.

7. User generated content

“User Content” includes comments, replies, usernames, profile information, avatars, titles, descriptions, links, reports, messages and any other material submitted by a user. Creator video and audio are also User Content but are governed additionally by the Creator Upload Terms.

You retain ownership of content you create. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, transmit and distribute your User Content as needed to operate, secure and promote the Service. This licence ends when the content is deleted, subject to reasonable technical delays, backups, legal preservation and copies already shared by other users where applicable.

You must own your content or have all rights and permissions needed to submit it. Public availability elsewhere does not by itself give you permission to post it on HoloMatrix.

No provision in these Terms means that User Content is automatically fair use, fair dealing, lawful or transformative.

8. Comments and social features

Comments, reactions, profile information and interactions must follow the Community Guidelines. Do not harass, threaten, shame, impersonate, dox, spam or target another person.

Watch Together, rooms, reactions and comments may involve interactions with people you do not know. Use report and block tools where needed. Do not share sensitive personal information publicly.

9. Moderation, reports and blocking

We may use human review, automated tools or both to review content and behaviour before or after publication. We do not promise to review every item before it appears.

We may reject, restrict, age limit, mute, disable, preserve or remove content where we reasonably believe it breaches these Terms, the Community Guidelines, app store rules, law, safety requirements or another person’s rights.

Users can report content and accounts through the controls provided in the app. People who cannot use the in-app controls may report illegal content, safety concerns or other legal issues to [email protected]. Copyright notices and counter-notices must use the Copyright Policy and should be sent to [email protected].

For a legal content notice, provide enough information for us to identify and locate the specific material, such as a URL, content ID, creator, channel or title, explain why you believe the material is illegal or infringes rights, provide contact information where required, and confirm that the information supplied is accurate and complete to the best of your knowledge.

Users can block accounts through available profile or content controls. Reports must be honest and must not be used to harass others.

We may prioritise reports involving children, credible threats, sexual exploitation, illegal content, privacy violations, fraud or immediate danger. Where appropriate, we may give a reason and an appeal route. We may decline repeated, abusive or manifestly unfounded complaints.

10. Creator uploads

Only approved creator accounts may upload video or audio. Creator access is currently limited to people aged 18 or older.

Creators must accept the Creator Upload Terms before uploading. The Creator Upload Terms describe ownership, streaming rights, spatial processing, technical copies, warranties, moderation and the copyright warning system.

11. Copyright and other rights

Do not upload or post material that infringes copyright, trademark, privacy, publicity, confidentiality or other rights.

Copyright complaints and counter-notices are handled under the Copyright Policy. Copyright notices should be sent to our Designated Copyright Agent at [email protected]. We may remove or disable access to material after receiving a sufficiently complete notice and may terminate repeat infringers.

12. Purchases and subscriptions

Purchases may be processed by Apple, Google or another authorised platform. Prices, taxes, billing periods, trial terms and renewal information are shown before purchase.

Subscriptions may renew automatically unless cancelled through the relevant store account before renewal. Store rules control billing, cancellation and refunds unless applicable law gives you additional rights.

You can cancel a store-billed subscription through the store account used to subscribe. Cancellation takes effect according to the store rules and normally prevents the next renewal. Deleting the HoloMatrix app or requesting deletion of your HoloMatrix account does not by itself cancel a subscription billed by an app store.

Nothing in these Terms limits mandatory consumer rights.

13. Virtual items and currencies

The Service may include virtual items or currencies, including Flux, Quarks or later equivalents. Unless expressly stated otherwise, they:

• are licensed for use within the Service and are not owned as money or property;
• have no cash value and cannot be exchanged for cash;
• are personal, non-transferable and may not be sold outside authorised systems;
• may be earned, purchased or awarded under rules shown in the Service.

We may adjust virtual items to operate, rebalance or secure the Service, but we will not remove mandatory consumer rights or act unfairly in relation to paid items.

14. Acceptable use

You must not:

• break the law or encourage unlawful conduct;
• exploit, groom, endanger or sexualise a child;
• post pornography, sexual exploitation or non-consensual intimate material;
• promote hatred, terrorism, serious violence, self-harm or dangerous activity;
• harass, threaten, stalk or reveal another person’s private information;
• impersonate others or mislead users about identity, sponsorship or origin;
• upload malware, attack the Service, abuse APIs or evade access controls;
• use bots, fake accounts or coordinated activity to manipulate engagement;
• submit knowingly false copyright, safety or moderation reports;
• evade a suspension or permanent ban.

The Community Guidelines provide more detail and form part of these Terms.

15. Health and physical safety

Motion based graphics, flashing imagery, spatial effects and prolonged screen use may cause discomfort, eye strain, dizziness, motion sensitivity or seizures for some people. Stop using the Service if you feel unwell and seek medical advice where appropriate.

Use the Service only in a safe environment. Do not use it while driving, cycling, crossing roads, operating machinery or carrying out an activity that requires attention to your surroundings.

You are responsible for mobile data charges and for using a compatible device and internet connection.

16. Hologen intellectual property

The Service, software, spatial streaming engine, algorithms, patents, trademarks, interfaces, graphics, platform assets and documentation are owned by or licensed to Hologen Technologies Ltd. These Terms do not transfer any ownership in them.

“HoloMatrix”, “Hologen” and related marks may not be used without permission except for accurate, lawful reference to the Service.

17. Third party services and links

The Service may depend on app stores, sign-in providers, cloud hosting, payment services, websites or content supplied by third parties. Their own terms and privacy policies may apply.

We are not responsible for third party services that we do not control, but this does not affect any responsibility we cannot legally exclude.

18. Changes to the Service or these Terms

We may update, modify, suspend or discontinue parts of the Service. We may update these Terms to reflect changes to the Service, law, safety practices or business operations.

We will update the effective date and give additional notice where a change is material or where law requires it. We may require you to accept updated terms before continuing to use certain features.

19. Suspension, termination and account deletion

You may stop using the Service and request account deletion through available account controls or by contacting us.

We may warn, restrict, suspend or terminate an account for serious or repeated breaches, legal risk, fraud, security abuse, infringement, child safety concerns, attempts to evade enforcement or where continued access could harm users or the Service.

Serious violations may result in immediate action without prior warning. Provisions concerning ownership, licences already exercised, disputes, liability, legal preservation and enforcement survive where their nature requires it.

20. Disclaimers and liability

The Service is provided on an “as available” basis. We use reasonable care and skill but do not promise uninterrupted, error-free or permanent availability.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, breach of mandatory consumer rights, or any liability that cannot lawfully be excluded.

To the extent permitted by law, we are not liable for losses that were not reasonably foreseeable when you agreed to these Terms, losses caused by events outside our reasonable control, or business losses where you use a consumer Service for commercial purposes.

You remain responsible for unlawful content or deliberate misuse submitted through your account.

21. Governing law and disputes

These Terms are governed by the laws of England and Wales. If you are a consumer, mandatory rights and local court protections available in your country remain unaffected.

Please contact us first so we can try to resolve a complaint. Nothing prevents either party from seeking urgent legal relief or using a regulator, court or dispute process available by law.
